Delivered work: Upon receipt of full payment, you own the custom automation workflows, configurations, and integrations we build specifically for your business as defined in the SOW.
Our tools and methods: Economy AI retains ownership of our internal processes, frameworks, templates, proprietary tools, and general methodologies. Delivering a project to you does not transfer ownership of our underlying systems or reusable components.
Third-party tools: Automations built on third-party platforms (e.g., Make, Zapier, n8n, OpenAI) are subject to those platforms' own terms of service. We are not responsible for changes to third-party platforms after delivery.
Both parties agree to treat as confidential any non-public business information shared during the engagement. This includes your business processes, customer data, financials, and any other proprietary information disclosed to us.
We will not disclose your confidential information to third parties except as required to deliver services (e.g., a subcontractor under equivalent confidentiality obligations) or as required by law.
We may reference your business as a client in our marketing materials (e.g., "We work with businesses in Fresno's home services industry") unless you request otherwise in writing. We will not share specific details, results, or identifying information without your explicit permission.

By you: You may terminate a project engagement with 14 days written notice. You will be invoiced for all work completed up to the termination date. Deposits are non-refundable once work has begun.
By us: We may terminate the engagement with 14 days written notice for any reason, or immediately if you breach these Terms, fail to pay, or engage in conduct that makes the working relationship untenable. In the case of our termination without cause, we will refund any prepaid amounts for undelivered work.
Retainers: Monthly retainers may be cancelled by either party with 30 days written notice. No refunds are issued for the current billing period.
Upon termination, we will provide you with all completed deliverables and relevant documentation, and you will promptly return or destroy any of our confidential information.
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts located in Fresno County, California, and both parties consent to that jurisdiction.
Before initiating any legal action, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.
